Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by MySonny, operated by Logics Technology Solutions Inc. ("Company," "we," "us," or "our"), including our AI agent hosting platform, APIs, and related services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE OUR SERVICES.

2. Description of Services

MySonny provides a platform for deploying and managing AI-powered agents. Our Services include:

• Hosted infrastructure for running AI agents
• Integration capabilities with messaging platforms (Telegram, Discord, Slack, etc.)
• Persistent storage for agent workspaces
• Administrative tools for agent management

We provide the platform and infrastructure only. The AI models powering agents are provided by third-party providers (primarily Anthropic) and are subject to their respective terms and policies.

3. User Responsibilities and Conduct

3.1 Lawful Use

You agree to use our Services only for lawful purposes. You shall not use, nor permit your AI agents to be used, for:

• Any activity that violates applicable local, national, or international laws or regulations
• Harassment, abuse, threats, or intimidation of any person
• Generation or distribution of malware, spam, or malicious content
• Fraud, impersonation, or deceptive practices
• Unauthorized access to third-party systems or data
• Collection of personal information without proper consent
• Generation of content that is defamatory, obscene, or infringes on intellectual property rights
• Any activity that could harm minors
• Circumventing security measures or access controls

3.2 Agent Supervision

You acknowledge that AI agents are autonomous systems capable of taking actions without direct human intervention. You are responsible for:

• Properly configuring your agents with appropriate permissions and limitations
• Monitoring your agents' activities and outputs
• Promptly addressing any harmful or unintended agent behavior
• Ensuring your agents comply with all applicable laws and third-party terms of service

3.3 Third-Party Services

When you integrate your agents with third-party services (messaging platforms, APIs, etc.), you are responsible for complying with those services' terms of use. We are not responsible for any violations of third-party terms resulting from your agent's activities.

4. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• AI agents will behave as expected or produce accurate outputs
• Any defects will be corrected
• The Services will meet your specific requirements

AI technology is inherently unpredictable. AI agents may produce unexpected, inaccurate, inappropriate, or harmful outputs despite proper configuration. You use AI agents at your own risk.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGICS TECHNOLOGY AI SOLUTIONS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM THE ACTIONS, OUTPUTS, OR BEHAVIOR OF AI AGENTS DEPLOYED THROUGH OUR SERVICES
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

These limitations apply regardless of the legal theory upon which damages may be claimed, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify, defend, and hold harmless MySonny and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• The actions, outputs, or behavior of AI agents you deploy
• Your violation of these Terms
• Your violation of any third-party rights or applicable laws
• Any content you or your agents create, transmit, or store using the Services

7. Subscription and Payment

Access to the Services requires a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).

We reserve the right to modify pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Refunds are handled on a case-by-case basis at our sole discretion.

8. Termination

You may terminate your account at any time through the dashboard or by contacting support. We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach any provision of these Terms
• Your use of the Services poses a security risk
• We are required to do so by law
• Your account is inactive for an extended period

Upon termination, your right to use the Services will immediately cease. We will delete your agent data within 30 days of termination, except as required by law.

9. Intellectual Property

The Services, including all content, features, and functionality, are owned by MySonny and are protected by intellectual property laws. You retain ownership of content you create and store through the Services.

You grant us a limited license to host and process your content solely for the purpose of providing the Services.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved exclusively in the courts located in Ontario, Canada.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and MySonny regarding your use of the Services.
